General Terms and Conditions (GTC)
1. Offers and Orders
Our offers are non-binding, orders are only deemed accepted after the written confirmation. The quantities ordered may be delivered or sub-delivered at 5 %.
2. Prices
The calculation is made with the prices valid on the day of delivery. The prices are subject to change and are ex works without packaging and without VAT.
3. Delivery time
The delivery time information is only approximate and non-binding. Claims for damages due to delayed delivery are excluded. Force majeure and unforeseen malfunction relieve us of the delivery obligations.
4. Shipping
Shipping takes place from here, exclusively packaging and in any case at the risk of the consignee, also in the case of Franko delivery. The packaging is calculated at the cost price and is not taken back. Additional freight for express and express shipments will be charged. From EUR 300,- net value is delivered without packaging, free station of the recipient. For export shipments, delivery starts at EUR 1,500,- “free German border” or “FOB German seaport”.
5. Notification of defects
Complaints must be made immediately after the establishment, but no later than 10 working days after receipt of the consignment.
6. Reservation of title
Deliveries are made exclusively subject to reservation of title. The property is transferred to the buyer only after he has cleared all his liabilities from all deliveries of goods. The reservation of title is valid for payment with bills of exchange and cheques until they are redeemed. In the case of resale, the purchase price shall be deemed to have been assigned to us, without any special assignment being required in the individual case.
7. Warranty
Warranty is provided for demonstrable material and manufacturing errors for a period of two years from the invoice date. There is no liability for consequential damages. The rectification of the defects is free of charge upon free return. In the event of external intervention, any warranty claim is excluded.
8. Terms of payment
Unless otherwise confirmed by us, the invoices are payable 30 days from the invoice date purely net. In case of payment within 14 days, 2 % discount will be granted. Foreign orders are delivered to checkout against documents. For overseas deliveries, letters of credit or advance payment are requested upon receipt of the pro forma invoice. In case of advance payment 3 % discount will be granted. If the target is exceeded, default interest is calculated at 2 % above the respective discount rate of the Landeszentralbank.
9. Place of performance and place of jurisdiction
For all arising rights and obligations apply to both parts for deliveries and payments Holzgerlingen as place of performance and Böblingen as the place of jurisdiction.
10. Deviations
Deviations from the terms only apply if they have been confirmed by us in writing. Oral arrangements are not valid.
